Please read these Terms of Use carefully before using softiviti.com (the “Site”). By accessing or using the Site, you agree to be bound by these terms. If you do not agree, do not use the Site.

1. Use of the Site

The Site is operated by Softiviti Inc. (“Softiviti,” “we,” “us,” or “our”), an Ottawa-based Canadian parent company. You may use the Site only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Site in any way that violates applicable law, infringes the rights of others, or could damage, disable, overburden, or impair the Site or interfere with any other party’s use of the Site.

2. Informational purpose only

The Site is provided for general informational purposes only. Nothing on the Site constitutes legal, financial, investment, professional, or other advice of any kind. You should not rely on any content on the Site as a substitute for independent professional advice appropriate to your specific circumstances.

3. Operating brands

Softiviti Inc. is the parent company for a group of operating brands. Brand names and websites referenced on the Site may be owned, operated, or managed by Softiviti Inc. unless otherwise stated. Our operating brands operate their own websites under their own terms and policies. If you interact with an operating brand’s website, that brand’s terms of use — not these Terms — apply to that interaction.

All content on the Site — including text, design, layout, graphics, code, and other materials — is owned by or licensed to Softiviti Inc. unless otherwise noted, and is protected by applicable intellectual property laws. You may view and print pages from the Site for your personal, non-commercial use only. 5. Trademarks and brand names

“Softiviti” and the names of our operating brands are trademarks or trade names of Softiviti Inc. or its operating brands, as applicable. Nothing on the Site grants any licence or right to use any trademark, trade name, logo, or brand name without our prior written permission. All other trademarks and brand names appearing on the Site are the property of their respective owners.

The Site may contain links to third-party websites, including the websites of our operating brands and external platforms. These links are provided for convenience only. We do not endorse, control, or assume responsibility for the content, accuracy, privacy practices, or security of any third-party website. Accessing a linked website is at your own risk, and you should review the applicable terms and policies of any website you visit.

7. No warranties

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOFTIVITI INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOFTIVITI INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR ITS CONTENT, EVEN IF SOFTIVITI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL SOFTIVITI’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THE SITE EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Softiviti Inc. and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to your use of the Site, your violation of these Terms of Use, or your violation of any applicable law or the rights of any third party.

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms of Use by reference.

11. Availability and changes

We reserve the right to modify, suspend, or discontinue the Site (or any part of it) at any time and without notice. We may also update these Terms of Use at any time. The updated version will be posted on this page with a revised “Last updated” date. Your continued use of the Site after any change constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Site.

12. Governing law

These Terms of Use are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the courts located in Ottawa, Ontario, Canada.
